  • Advisors to the purchasers on the acquisition of a budget hotel.

    We were appointed by the purchasers for the transaction, which involved structuring a new company, acting on the acquisition and helping negotiate the deal, and advising on several complex tax issues.

  • Advisors to the purchasers on a Management Buy Out / Buy in of a ‘Specialist Engineering Company, including fund raising.

    This was a complex deal involving the merger of two independent companies and the simultaneous purchase of the shares of a retiring director. We provided valuations of the businesses, taxation advice and arranged funding. We also made considerable input to the legal process.
  • Advisors to a specialist in Government contractors on developing a plan for management and ownership succession.

    We have been advising this Company on strategy development for a number of years. A key issue has been the essential need to create options for an exit strategy. Critical to the plan are the key employees and with the considerable involvement of Tim Adcock, Tax Partner we implemented an Inland Revenue approved Enterprise Management Investment (share option) scheme.
  • Advisors to the shareholders on the sale of a steel stock holding company.

    We were retained to find potential purchasers for a trade sale. We provided a valuation of the Company and negotiated the deal which included conditional and unconditional deferredconsideration.
  • Advisors to the shareholders on the sale of a utilities company.

    We were retained to advise and negotiate on the valuation and deal structure. We also provided an important supporting role on the legal agreements in respect of a complex ‘earn out’ provision. Taxation advice was also provided by Tim Adcock, Tax Partner.
  • Provided expert witness advice on the valuation of a company in respect of a shareholders dispute.

    This was a transaction involving complex valuation and taxation advice requiring considerable contact with our client’s legal advisors.
